Participation Terms

The Miami Beach Youth Sports & Wellness Festival (“YSW Fest”) is a community event produced by the Miami Beach Youth Sports & Wellness Foundation, a 501(c)(3) nonprofit organization, in partnership with the City of Miami Beach.
 

These Participation Terms apply to all Festival attendees, participants, partners, vendors, sponsors, in-kind partners, and sport program partners.
 

EVENT ATTENDEES & PARTICIPANTS

(Families, Players, Parents & Guardians)

The Miami Beach Youth Sports & Wellness Festival is a free, family-friendly community event. By attending or participating in Festival activities — including sports clinics, tournaments, demonstrations, and wellness programming — participants and parents/guardians acknowledge and agree to the following:

Participation in sports and physical activities involves inherent risks, including the risk of injury. Participation is voluntary, and participants assume all risks associated with involvement.

Parents and guardians are responsible for the supervision, safety, and conduct of their children at all times unless otherwise stated by a specific sport program partner.
Participants are expected to behave in a respectful, safe, and sportsmanlike manner. Behavior inconsistent with a positive, family-friendly environment may result in removal from an activity.

The Festival may photograph, video record, or otherwise capture images of activities and participants for promotional, educational, and community-related purposes. Attendance constitutes consent for the use of such images and recordings by the Festival, the Foundation, and City partners.

Festival schedules, programming, and activities may change due to weather, safety considerations, or unforeseen circumstances.


Participation is voluntary. The Festival, the Miami Beach Youth Sports & Wellness Foundation, and the City of Miami Beach are not responsible for lost or stolen personal property or injuries beyond what is required by law.
 

Vendor Terms & Conditions

These Vendor Terms & Conditions (“Terms”) govern participation in the Miami Beach Youth Sports & Wellness Festival (“Event” or “YSW Fest”), produced by the Miami Beach Youth Sports Foundation, Inc., a Florida not-for-profit corporation (“Foundation”), in partnership with the City of Miami Beach (“City”).

By registering online and selecting the checkbox indicating acceptance of these Terms, Vendor agrees to be legally bound by them.

These Terms apply to all vendors, sponsors, in-kind partners, community partners, and sport program partners (collectively, “Vendor”).

1. Participation & Confirmation

Vendor participation is conditioned upon:

  •  Acceptance of these Terms via online registration;

  • Payment of all applicable vendor or participation fees;

  • Submission of required documentation (including insurance certificates, if required);

  • Compliance with all Event, Foundation, and City requirements.


All vendor fees, sponsorship contributions, and participation payments are non-refundable, including in the event of cancellation, delay, weather, safety issues, or other circumstances beyond the Foundation’s control.

Participation does not create any employment, joint venture, agency, or partnership relationship between Vendor and the Foundation, Event, or City.

 

2. License of Space

Vendor is granted a limited, revocable, non-exclusive, non-transferable license to use a designated vendor space (“Space”) during the Event.

This license:

  • Does not create a lease or real property interest;

  • May not be assigned, transferred, or shared without written consent;

  • Is subject to relocation at the discretion of the Foundation or City for operational or safety reasons.


Vendor acknowledges that the Event site is City property and is used “as is.” Vendor is responsible for inspecting its Space and reporting any safety concerns.

 

3. Vendor Operations & Compliance

Vendor agrees to:

  • Comply with all applicable federal, state, county, and City of Miami Beach laws;

  • Obtain all required permits and licenses (including food permits, fire approvals, etc., if applicable);

  • Follow all City regulations regarding public property use;

  • Adhere to Event operational, safety, and emergency procedures;

  • Keep its area clean and remove all materials at load-out.


The Foundation and City reserve the right to restrict or prohibit any activity deemed unsafe, unlawful, inconsistent with the youth-focused nature of the Event, or disruptive to Event operations.

 

4. Prohibited Activities

Vendors may not:

  • Sell or distribute alcohol, tobacco, vaping products, weapons, or illegal substances;

  • Conduct activities inconsistent with the youth/sports/wellness focus;

  • Use amplified sound without prior written approval;

  • Install permanent or semi-permanent structures;

  • Engage in unsafe or inappropriate conduct.

 

5. Fees & Taxes

Vendor is solely responsible for:

  • Collection and payment of all applicable sales and use taxes;

  • Any business taxes or government fees related to Vendor operations.

 

Participation fees are non-refundable.

6. Insurance Requirements

Vendor must maintain, at its sole expense:

  • Commercial General Liability insurance with limits of at least:

  • $1,000,000 per occurrence

  • $2,000,000 aggregate

  • Workers’ Compensation coverage, if required by law.

 

If requested, Vendor must provide a Certificate of Insurance naming:

  • Miami Beach Youth Sports & Wellness Foundation, Inc.

  • City of Miami Beach as Additional Insureds on a primary and non-contributory basis.

 

Insurance obligations do not limit Vendor’s indemnification obligations.

 

7. Indemnification

 

To the fullest extent permitted by law, Vendor agrees to indemnify, defend, and hold harmless:

  • Miami Beach Youth Sports & Wellness Foundation, Inc.

  • City of Miami Beach

  • Their officers, directors, employees, volunteers, and agents from any and all claims, damages, losses, liabilities, or expenses arising out of or related to Vendor’s participation, operations, or use of Event space.

 

These obligations survive the Event.

8. Limitation of Liability

By participating in the Festival, partners and vendors grant permission for the Festival and the Miami Beach Youth Sports & Wellness Foundation to:

  • Use submitted logos, names, and brand assets for Festival-related marketing and recognition

  • Photograph and record on-site activations for promotional and community use

 

All use will be related to Festival promotion, community engagement, and City-supported communications.

 

9. Damage to Property

Vendor is responsible for any damage caused by Vendor, its staff, or contractors to Event property, City property, or third-party property.

 

10. Media & Marketing Rights

By participating, Vendor grants the Foundation and City permission to:

  • Use Vendor name and logo for Event promotion;

  • Photograph and video Vendor activities;

  • Use such media for promotional, community, and City communications purposes.

11. Termination
 

The Foundation may cancel Vendor participation prior to setup for any reason.

 

In such case, the Foundation’s sole obligation is, at its discretion, to refund all or part of the vendor fee. No additional damages shall be owed.

12. Governing Law & Dispute Resolution
 

These Terms are governed by Florida law.

Venue for disputes shall be Miami-Dade County, Florida.

Vendor waives the right to trial by jury.
 

13. Entire Agreement

These Terms constitute the full agreement governing Vendor participation in the Event and supersede all prior understandings.
